ENTREPRENEURIALLYHER MEDIA RELEASE AND CONSENT AGREEMENT

EntrepreneuriallyHer, which is operated by Jenna Martin LLC (“Company”, “we”, “us”, or “our”) provides visitors information on www.entrepreneuriallyher.com (“website”) subject to the following terms and conditions (“Terms and Conditions”). The term “you” refers to any visitor, viewer or user of the website and/or any user of any free or paid program, product, course or service of the Company (each, a “Product”).
By viewing, visiting or using the website and/or a Product, you indicate your acceptance and agreement to be bound by these Terms and Conditions and our Privacy Policy and Disclaimer, which are hereby incorporated by reference (collectively, this “Agreement”). If you do not accept the terms and conditions of this Agreement, then please do not use the website or any Products. These Terms and Conditions were created with the help of the Terms and Conditions Generator and Terms and Conditions Solutions.
We reserve the right to amend this Agreement at any time without notice to you. We will alert you to any changes by posting the effective date of the latest version at the top of this page, at which point any changes will become immediately effective. It is your responsibility to check for updates, as your continued use of the website or any Products after this Agreement is amended will constitute your acceptance and agreement to continue to be bound by this Agreement, as amended.
ENTREPRENEURIALLYHER MEDIA RELEASE AGREEMENT
This guest consent agreement (the “Agreement”) at time of purchase on www.entrepreneuriallyher.com and is made by and between Jenna Martin LLC (the “Host”) and the person purchasing an EntrepreneuriallyHer program or service as (the “Guest”).
The parties agree as follows:
The Guest also agrees to be bound by the “Terms of Service,” “Disclaimer,” and “Privacy Policy” as provided on www.entrepreneuriallyher.com. The Host may reject your purchase, access, and provide a refund with no explanation.
1. GUEST APPEARANCE
The Guest agrees to appear on all forms of media for all programs and services from EntreprenuriallyHer (the “Guest Appearance”). The Guest Appearance will be LIVES or pre recorded video(s) submitted to [email protected] or any of Jenna's social media inboxes that will be shared. The guest will also provide one more multiple photos, bios, blog posts, offer pictures, offer blurbs, and links for their business that will be used for content and promotion across all social media platforms. These before mentioned items and parts or all of the video recordings submitted will also be posted across all platforms including the podcast, blog, journal, catalog, video channel, and magazine and shared on all social platforms including but not limited to Pinterest, Tiktok, LinkedIn, YouTube, Facebook Page, Facebook Group, the EntreprenuriallyHer email list, and the EntreprenuriallyHer website for EntreprenuriallyHer as well as on Jenna Martin’s personal facebook page. It is the Guest’s sole responsibility to prepare any necessary equipment and materials for the Guest Appearance.
2. RECORDING CONSENT
The Host has consent and permission to record audio and video appearance of the Guest during a LIVE on all EntrepreneuriallyHer platforms.
3. INTELLECTUAL PROPERTY
Any and all intellectual property arising out of, in connection with or created in relation to the Guest Appearance belongs solely and exclusively to the Host (“Intellectual Property”).
The Guest grants the Host a worldwide and exclusive license to use, broadcast, edit,
live-stream, distribute, exhibit, market, reproduce, translate, transmit, post, display, republish, exploit, copy or otherwise use the Intellectual Property, in any and all media formats, for any purpose, in perpetuity.
The Guest may not use, broadcast, edit, live-stream, distribute, exhibit, market,
reproduce, translate, transmit, post, display, republish, exploit, copy or otherwise use the Intellectual Property without prior written consent from the Host.
4. NO COMPENSATION
The Guest understands that the Host may receive compensation from the Guest Appearance and from all platforms including but not limited to ads viewed, sponsorships, brand deals, creator funds, affiliates, downloads, products, services, or from any additional means of money made. The Guest will not be compensated at any time for the Guest Appearance, the blog, posts, going LIVE, for the ongoing recordings or video views on all social media platforms, or for any rights granted Herein. The Guest also understands that the Host has the rights to sell the podcast and any and all intellectual property arising out of, in connection with or created in relation to the Guest Appearance belonging solely and exclusively to the Host (“Intellectual Property”).
5. NO OBLIGATION
The Host is not obligated to use, broadcast, edit, live-stream, distribute, exhibit, market, reproduce, translate, transmit, post, display, republish, exploit, copy or otherwise use the Intellectual Property. The Host may take down all content created and submitted for the EntrepreneuriallyHer Membership with no refund or explanation. All content and media will remain posted on all platforms even after the membership is cancelled, unless The Host utilizes the right to remove content.
The Host has the right to reject submitted content without explanation. You may resubmit content until it is approved. The Host has the right to reject content that has topics including but not limited to sex, politics, religion, abortion, healthcare, drugs, and suicide that potentially can go against many social platforms’ “Community Standards.” Content potentially considered dangerous or harmful may also be rejected. The Host has the right to shut down and cancel all social platforms without explanation.
6. NO AGENCY RELATIONSHIP
This Agreement does not constitute and shall not be construed as constituting a partnership, agency, employee/employer relationship or joint venture between Guest and Host.
7. MARKS
The host shall retain all right, title, and interest in Guest’s name and its related marks and logos. The Guest shall retain all rights in their name, materials, marks, content and logos. This Agreement shall not be construed to give either party the right to use the marks of the other party after the sponsorship ends outside of the outlined campaign.
8. INDEMNIFICATION
The Guest shall indemnify, defend and hold harmless the Host and its affiliates, and
their respective directors, contractors, successors, joint venture partners, shareholders, agents, affiliates, officers, employees, assignees and licensees from and against any and all damages, liabilities, losses, costs and expenses resulting from any suits, proceedings, judgments, demands, causes of action and claims, including legal and accounting fees and expenses, whether or not involving a third party claim, to the extent arising out of, relating to or resulting from this Agreement.
9. GUEST RESPONSIBILITIES
Guest will provide:
- Value Filled Video(s) (15+ Minutes)
- Headshot(s) and Bio(s)
- Value Filled Blog Post(s) (500+ Words)
- Business Links, Offer Picture(s), Offer Blurb(s)
- Additional Promotional Content
If there are any intellectual property or copyright accusations, your content will be removed immediately.
Note that the video(s) you submit for EntrepreneuriallyHer may not appear on any other platform including your YouTube, or your video may be taken down and removed from EntrepreneuriallyHer.
Please also note that your content may be posted along with and/or next to content from other entrepreneurs with beliefs strongly opposite from yours.
10. GUEST BENEFITS
- Enjoy Promotion in front of a Facebook Group of 30,000+, a YouTube channel of 1,000+, and multiple social media platforms.
- Connect with women around the world many of which who have interests in business, personal development, and wellness.
11. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties on the subject matter contained herein and supersedes all prior agreements and understandings, both written and oral, between the parties with respect to the matters contained herein. IN WITNESS WHEREOF, the Parties execute this Agreement on the date the EntrepreneuriallyHer program or service was purchased. The Agreement continues indefinitely as long as the social channels mentioned are live beyond cancellation of the EntrepreneuriallyHer Membership.
